Terms of Service

Scope. These terms govern subscriptions to AskBase and to the other neesh Inc. base products as each becomes available. Assessment engagements and custom build engagements are not covered here. Each is governed by its own statement of work.
Acceptance
By accessing or using AskBase you agree to these terms. If you do not agree, do not use the service. These terms apply to the organisation account holder and all users invited under that account.
Service description
AskBase is a permission-aware AI knowledge platform. neesh Inc. provides access to the service on a subscription basis. Features, pricing, and included quotas are defined in the order form and billing policy.
Account responsibilities
The organisation administrator is responsible for managing user access, maintaining accurate billing information, and ensuring users comply with these terms. You are responsible for any activity that occurs under your account credentials.
Acceptable use
You may not use AskBase to:
- Process data that violates applicable law or third-party rights
- Transmit harmful or malicious content
- Attempt to circumvent security controls or access other organisations' data
- Resell or sublicense access without written consent from neesh Inc.
Data and privacy
Your use of the service is also governed by our Privacy Policy and, where applicable, our Data Processing Agreement. Documents you upload and queries you submit are processed on your behalf; we do not use your data to train AI models.
Intellectual property
The AskBase platform, including its design, software, and documentation, is owned by neesh Inc. and protected by Canadian and international intellectual property law. Your data remains yours.
Service availability
We target 99.5% monthly uptime for core query and ingestion functions. Planned maintenance is announced at least 24 hours in advance. Unplanned outages are communicated via status updates.
Suspension and termination
Accounts may be suspended for non-payment (see Billing Policy) or material breach of these terms. On termination you may export your data for 30 days; after that, data is deleted per our retention policy.
Limitation of liability
To the maximum extent permitted by law, neesh Inc. is not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the fees paid in the three months before the claim arose.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes are subject to the exclusive jurisdiction of the courts of Ontario.
Changes to these terms
We may update these terms with 30 days notice via email to the billing contact. Continued use after the effective date constitutes acceptance.
